Welcome to YouthInn. These Terms of Use ("Terms") govern your access to and use of the YouthInn platform, website, dashboards, Public APIs, and related services (collectively, the "Services") operated by YouthInn, Inc. ("YouthInn," "Company," "we," or "us").

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you may not use the Services.

1. Overview of the Services

YouthInn is an AI-powered housing marketplace that:

• Connects tenants with landlords and housing operators
• Provides intelligent search and matching tools
• Supports inquiry routing and tour scheduling
• Offers landlord dashboards and automation tools
• Operates Public APIs for structured listing discovery
• Enables AI Exposure for listing discoverability

YouthInn does not own, lease, or control listed properties unless explicitly stated.

2. Eligibility

You must be at least 18 years old to use the Services.
By using YouthInn, you represent that you have legal capacity to enter into this agreement.

3. Accounts

To access certain features, you must create an account.

You agree to:

• Provide accurate information
• Maintain account security
• Notify us of unauthorized access

You are responsible for activity under your account.

4. Tenant Terms

As a tenant user, you understand that:

• YouthInn provides listings submitted by landlords or operators
• YouthInn does not guarantee availability or pricing accuracy
• Lease agreements are between you and the landlord
• YouthInn is not a party to rental contracts

You are responsible for verifying property details before entering into agreements.

5. Landlord & Operator Terms

If you list properties on YouthInn, you represent that:

• You have legal authority to list the property
• Listing information is accurate and lawful
• You comply with applicable housing and anti-discrimination laws
• You have rights to publish all media uploaded

You are solely responsible for lease agreements and tenant screening.

6. AI Exposure & Public APIs

6.1 Default AI Exposure

YouthInn is designed as an AI-native platform. Listing data designated as eligible for public discovery may be accessible via YouthInn's Public APIs to approved third-party systems and automated agents.

6.2 Scope

AI Exposure applies only to structured listing data and does not include:

• Tenant personal data
• Private communications
• Billing information
• Internal notes

6.3 External Agent Interaction

Approved third-party systems may:

• Retrieve listing data
• Query availability
• Initiate inquiry workflows

All interactions are logged and controlled.

6.4 Opt-Out

Landlords may request limitation or disablement of AI Exposure, subject to operational constraints.

7. Public API Use

If you access YouthInn through Public APIs:
You agree to:

• Use APIs only as documented
• Respect rate limits
• Not scrape or bypass access controls
• Not attempt to reverse engineer the Services
• Not use data for unlawful or discriminatory purposes

YouthInn may suspend API access at any time for misuse.

8. Prohibited Conduct

You agree not to:

• Use the Services for unlawful purposes
• Post fraudulent listings
• Harass or discriminate against users
• Upload malicious code
• Attempt unauthorized access
• Circumvent platform protections

Violation may result in account suspension or termination.

9. Fees and Payments

If applicable, subscription fees, commissions, or service fees will be described in separate pricing terms or agreements.

All payments are non-refundable unless otherwise stated.

10. Intellectual Property

All YouthInn software, algorithms, AI systems, branding, and content are owned by YouthInn or its licensors.

You may not:

• Copy
• Modify
• Distribute
• Create derivative works

without written permission.

Listing content remains owned by the party who submitted it, subject to license rights granted to YouthInn.

11. License to YouthInn

By submitting content (including listings), you grant YouthInn a worldwide, non-exclusive, royalty-free license to:

• Host
• Store
• Process
• Display
• Distribute via Public APIs (subject to AI Exposure design)
• Use for platform operation and promotion

12. Privacy

Your use of the Services is governed by the YouthInn Privacy Policy and Data Processing Addendum (where applicable).

13. Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE."

YouthInn does not guarantee:

• Property condition
• Lease enforceability
• Tenant suitability
• Continuous availability of the platform

YouthInn is not responsible for disputes between tenants and landlords.

14. Limitation of Liability

To the maximum extent permitted by law:
YouthInn shall not be liable for:

• Indirect damages
• Lost profits
• Lost opportunities
• Data loss
• Disputes between users

Total liability shall not exceed the amount paid to YouthInn in the preceding 12 months.

15. Indemnification

You agree to indemnify YouthInn against claims arising from:

• Your listings
• Your use of the Services
• Your violation of laws
• Your breach of these Terms

16. Suspension and Termination

YouthInn may suspend or terminate access if:

• You violate these Terms
• You misuse the APIs
• Required by law
• Necessary to protect platform integrity

You may terminate your account at any time.

17. Arbitration & Dispute Resolution

Any disputes shall be resolved by binding arbitration in the State of California, unless otherwise required by law.

You waive the right to participate in class actions.

18. Modifications

YouthInn may update these Terms at any time. Continued use after updates constitutes acceptance.

19. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
